This Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your information when You use the Service and tells You about Your privacy rights and how the law protects You. By using the Service, You agree to the collection and use of information in accordance with this Privacy Policy.

1. Definitions

The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of this Privacy Policy:

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Twocents.ai Ltd, 251 Little Falls Drive, Wilmington, New Castle County, DE 19808.

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

  • Account means a unique account created for You to access our Service or parts of our Service.

  • Website refers to the Twocents.ai website, accessible from https://twocents.ai

  • App refers to the Twocents.ai app on the Apple App Store or Google Play Store

  • Service refers to the Twocents.ai application on the web and App

  • Service Provider means any natural or legal person who processes the data on behalf of the Company. It refers to third-party companies or individuals employed by the Company to facilitate the Service, to provide the Service on behalf of the Company, to perform services related to the Service, to assist the Company in analyzing how the Service is used or to assist the Company in promoting the Service.

  • Third-party Social Media Service refers to any website or any social network website through which a User can log in or create an account to use the Service.

  • Third-party Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

  • Personal Data is any information that relates to an identified or identifiable individual.
    For the purposes for GDPR, Personal Data means any information relating to You such as a name, an identification number, location data, online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity.
    For the purposes of the CCPA, Personal Data means any information that identifies, relates to, describes or is capable of being associated with, or could reasonably be linked, directly or indirectly, with You.

  • Cookies are small files that are placed on Your computer, mobile device or any other device by a website, containing the details of Your browsing history on that website among its many uses.

  • Usage Data refers to data collected automatically, either generated by the use of the Service or from the Service infrastructure itself (for example, the duration of a page visit).

  • Data Controller, for the purposes of the GDPR (General Data Protection Regulation), refers to the Company as the legal person which alone or jointly with others determines the purposes and means of the processing of Personal Data.

  • Do Not Track (DNT) is a concept that has been promoted by US regulatory authorities, in particular the U.S. Federal Trade Commission (FTC), for the Internet industry to develop and implement a mechanism for allowing internet users to control the tracking of their online activities across websites.

  • Business, for the purpose of the CCPA (California Consumer Privacy Act), refers to the Company as the legal entity that collects Consumers' personal information and determines the purposes and means of the processing of Consumers' personal information, or on behalf of which such information is collected and that alone, or jointly with others, determines the purposes and means of the processing of consumers' personal information, that does business in the State of California.

  • Consumer, for the purpose of the CCPA (California Consumer Privacy Act), means a natural person who is a California resident. A resident, as defined in the law, includes (1) every individual who is in the USA for other than a temporary or transitory purpose, and (2) every individual who is domiciled in the USA who is outside the USA for a temporary or transitory purpose.

  • Sale, for the purpose of the CCPA (California Consumer Privacy Act), means selling, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, a Consumer's Personal information to another business or a third party for monetary or other valuable consideration.

2. Collecting and Using Your Personal Data

2.1. Types of Data Collected

2.1.1. Personal Data

While using Our Service, We may ask You to provide Us with certain personally identifiable information that can be used to contact or identify You. Personally identifiable information may include, but is not limited to:

  • First name and last name

  • Email address

  • Files You've uploaded

  • Phone number

  • Mailing Address

  • Home address

  • Internet Domain Names

  • Assets, Credit Cards, Liabilities - Details and Value

  • Net Worth

  • Insurance details

We collect Personal Data about You from You in the following manner:

  • When You provide such information directly to us.

  • When You create an account or use our interactive tools and Services.

  • When You voluntarily provide information in free-form text boxes through the Services or through responses to surveys or questionnaires.

  • When You send us an email or otherwise contact us.

  • When You use the Services and such information is collected automatically.

  • When You connect Your financial accounts to our Services

  • When You login to Your financial accounts in order to connect them to our Services, we will receive transaction and balance information from such accounts via Morningstar By All Accounts. (more details below) At no point will we receive Your login information to any of Your financial accounts.

We collect Personal Data about You from Third parties in the following manner

  • We may use analytics providers to analyze how You interact and engage with the Services, or third parties may help us provide You with customer support.

  • We may receive information about You from some of our vendors who assist us with marketing or promotional services related to how You interact with our websites, applications, products, Services, advertisements or communications.

  • Third-Party Credentials: If You provide Your third-party account credentials or otherwise log into a third-party service in connection with our Services, some content and/or information in those accounts may be transmitted into Your account with us.

2.1.2. Usage Data

Usage Data is collected automatically when using the Service. Usage Data may include information such as Your Device's Internet Protocol address (e.g. IP address), browser type, browser version, the pages of our Service that You visit, the time and date of Your visit, the time spent on those pages, unique device identifiers and other diagnostic data.

We may collect information on Your use of our Site and Services, such as pages visited, links clicked, non-sensitive text entered, and mouse movements, as well as information more commonly collected such as the referring URL, browser, operating system, and IP address.

When You access the Service by or through a mobile device, We may collect certain information automatically, including, but not limited to, the type of mobile device You use, the IP address of Your mobile device, Your mobile operating system, the type of mobile Internet browser You use, unique device identifiers and other diagnostic data.

We may also collect information that Your browser sends whenever You visit our Service or when You access the Service by or through a mobile device.

2.1.3. Tracking Technologies and Cookies

We use Cookies and similar tracking technologies to track the activity on Our Service and store certain information. Tracking technologies used are beacons, tags, and scripts to collect and track information and to improve and analyze Our Service.

You can instruct Your browser to refuse all Cookies or to indicate when a Cookie is being sent. However, if You do not accept Cookies, You may not be able to use some parts of our Service.

Cookies can be "Persistent" or "Session" Cookies. Persistent Cookies remain on Your personal computer or mobile device when You go offline, while Session Cookies are deleted as soon as You close Your web browser. We use both session and persistent Cookies for the purposes set out below:

We will not collect additional categories of Personal Data or use the Personal Data we collected for materially different, unrelated or incompatible purposes without providing You notice.

2.3. Use of Your Personal Data

The Company may use Personal Data for the following purposes:

  • To provide and maintain our Service.

  • To manage Your Account: to manage Your registration as a user of the Service. The Personal Data You provide can give You access to different functionalities of the Service that are available to You as a registered user.

  • For the performance of a contract: the development, compliance and undertaking of the purchase contract for the products, items or services You have purchased or of any other contract with Us through the Service.

  • To contact You: To contact You by email, telephone calls, SMS, or other equivalent forms of electronic communication, such as a mobile application's push notifications regarding updates or informative communications related to the functionalities, products or contracted services, including the security updates, when necessary or reasonable for their implementation.

  • To provide You with news, special offers and general information about services we offer, unless You have opted not to receive such information.

  • To manage Your requests: To attend and manage Your requests to Us.

  • To send You rewards: We may collect Your Mailing Address by contacting You outside the app and by explaining the purpose, for example, for sending rewards based on Our loyalty programs.

We may share Your personal information in the following situations:

  • With Service Providers: We may share Your personal information with Service Providers for connecting Your online financial accounts, fetching latest asset value, processing payments, monitoring usage, report bugs, customer support, email marketing and for targeting the Company's promotional campaigns.

  • For Business transfers: We may share or transfer Your personal information in connection with, or during negotiations of, any merger, sale of Company assets, financing, or acquisition of all or a portion of our business to another company.

  • With Affiliates: We may share Your information with Our affiliates, in which case we will require those affiliates to honor this Privacy Policy. Affiliates include Our parent company and any other subsidiaries, joint venture partners or other companies that We control or that are under common control with Us.

  • With 'White Label Customers': We may share Your personal information with our 'White-Label Customers', ONLY if You signed up to the Service as their client.

2.4. Retention of Your Personal Data

The Company will retain Your Personal Data for as long as necessary to provide You with our Services or to perform our business or commercial purposes for collecting Your Personal Data. When establishing a retention period for specific categories of data, we consider who we collected the data from, our need for the Personal Data, why we collected the Personal Data, and the sensitivity of the Personal Data. In some cases, we retain Personal Data for longer, if doing so is necessary to comply with our legal obligations (for example, if we are required to retain Your data to comply with applicable laws), resolve disputes or collect fees owed, or is otherwise permitted or required by applicable law, rule or regulation. We may further retain information in an anonymous or aggregated form where that information would not identify You personally. For example, we retain Your profile information and credentials for as long as You have an account with us.

The Company will also retain Usage Data for internal analysis purposes. Usage Data is generally retained for a shorter period of time, except when this data is used to strengthen the security or to improve the functionality of Our Service, or We are legally obligated to retain this data for longer time periods.

2.5. Transfer of Your Personal Data

Your information, including Personal Data, is processed at the Company's operating offices and in any other places where the parties involved in the processing are located. It means that this information may be transferred to, and maintained on, computers located outside of Your state, province, country or other governmental jurisdiction where the data protection laws may differ than those from Your jurisdiction.

Your consent to this Privacy Policy followed by Your submission of such information represents Your agreement to that transfer.

The Company will take all steps reasonably necessary to ensure that Your data is treated securely and in accordance with this Privacy Policy and no transfer of Your Personal Data will take place to an organization or a country unless there are adequate controls in place including the security of Your data and other personal information.

2.6. Disclosure of Your Personal Data

  1. Business Transactions: If the Company is involved in a merger, acquisition or asset sale, Your Personal Data may be transferred. We will provide notice before Your Personal Data is transferred and becomes subject to a different Privacy Policy.

  2. Law enforcement: Under certain circumstances, the Company may be required to disclose Your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency).

  3. Other legal requirements‍: The Company may disclose Your Personal Data in the good faith belief that such action is necessary to:

    • Comply with a legal obligation

    • Protect and defend the rights or property of the Company

    • Prevent or investigate possible wrongdoing in connection with the Service

    • Protect the personal safety of Users of the Service or the public

    • Protect against legal liability

2.7. Data that is Not Personal Data

We may create aggregated, de-identified or anonymized data from the Personal Data we collect, including by removing information that makes the data personally identifiable to a particular user. We may use such aggregated, de-identified or anonymized data and share it with third parties for our lawful business purposes, including to analyze, build and improve the Services and promote our business, provided that we will not share such data in a manner that could identify You.

2.8. Security of Your Personal Data

We seek to protect Your Personal Data from unauthorized access, use and disclosure using appropriate physical, technical, organizational and administrative security measures based on the type of Personal Data and how we are processing that data. You should also help protect Your data by appropriately selecting and protecting Your password and/or other sign-on mechanism; limiting access to Your computer or device and browser; and signing off after You have finished accessing Your account. Although we work to protect the security of Your account and other data that we hold in our records, please be aware that no method of transmitting data over the internet or storing data is completely secure.

Fair Information Practice Principles. In the event of a personal data breach, we will notify You within fifteen (15) days via (i) email and/or (ii) our Platform notification system on our Website and/or App. We agree to the individual redress principle, which requires that individuals have a right to pursue legally enforceable rights against data collectors and processors who fail to adhere to the law. This principle requires not only that individuals have enforceable rights against data users, but also that that individuals have recourse to courts or a government agency to investigate and/or prosecute non-compliance by data processors. 

2.9. Detailed Information on the Processing of Your Personal Data

Service Providers have access to Your Personal Data only to perform their tasks on Our behalf and are obligated not to disclose or use it for any other purpose. We may use third-party Service providers to provide us with data for use in our Services, monitor and /or analyze the use of our Service.

Morningstar By All Accounts: Morningstar provides account aggregation to top financial institutions in the USA. Morningstar collects and securely stores the credentials You share, such as Username and password. This information is never stored by, or disclosed to, us. Their Privacy Policy can be viewed at https://www.morningstar.com/company/privacy-policy/products/baa. You may link Your bank, brokerage, crypto wallet accounts for the Service to automatically fetch Your financial information using this service.

Google Analytics: Google Analytics is a web analytics service offered by Google that tracks and reports website traffic. Google uses the data collected to track and monitor the use of our Service. This data is shared with other Google services. Google may use the collected data to contextualize and personalize the ads of its own advertising network. You can opt-out of having made Your activity on the Service available to Google Analytics by installing the Google Analytics opt-out browser add-on. The add-on prevents the Google Analytics JavaScript (ga.js, analytics.js and dc.js) from sharing information with Google Analytics about visits activity. Marketing & Advertisements: We may work with third-party ad networks, including third-party ad servers, ad agencies, ad technology vendors and research firms, to serve advertisements to You. These advertisements may be targeted to users who fit certain general profile categories or display certain preferences or behaviors ("Interest-Based Ads"). Information for Interest-Based Ads (including Personal Data) may be provided to us by You or derived from the usage patterns of particular users on the Services and/or services of third parties. Such information may be gathered through tracking users' activities across time and unaffiliated properties, including when You leave the Services. To accomplish this, we or our service providers may deliver Cookies, including a file (known as a "web beacon") from an ad network to You through the Services. Web beacons allow ad networks to provide anonymized, aggregated auditing, research and reporting for us and for advertisers. Web beacons also enable ad networks to serve targeted advertisements to You when You visit other websites. Web beacons allow ad networks to view, edit or set their own Cookies on Your browser, just as if You had requested a web page from their site. We may use Your Personal Data to contact You with newsletters, marketing or promotional materials and other information that may be of interest to You. You may opt-out of receiving any, or all, of these communications from Us by following the unsubscribe link or instructions provided in any email We send or by contacting Us. We may use Email Marketing Service Providers to manage and send emails to You. If You wish to opt out of email marketing, follow the instructions at the bottom of each email or contact us at privacy@twocents.ai and we will promptly remove You from all future marketing correspondences.

Payments: We may provide paid products and/or services within the Service. In that case, we may use third-party services for payment processing (e.g. payment processors). We will not store or collect Your payment card details. That information is provided directly to Our third-party payment processors Stripe whose use of Your personal information is governed by their Privacy Policy. These payment processors adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, Mastercard, American Express and Discover. PCI-DSS requirements help ensure the secure handling of payment information. Stripe's Privacy Policy can be viewed at https://stripe.com/us/privacy

3. Accessing the Service through Our 'White-Label Customers'

The Service can also be accessed through our 'White-Label Customers', such as Registered Investment Advisors, who have licensed the Service to apply their brand and offer it to their clients as part of their services. Under these circumstances Twocents is the Data Processor and the 'White-Label Customer' is the Data Controller for legal and regulatory purposes. Twocents' obligation to the User is therefore limited to its role as Processor and the User must contact the 'White Label Customer' for more information about their Terms of Use and Privacy Policies.

If You are accessing the Service through such 'White Label Customer', they may be able to access, add, edit and retain information shown on Your portfolio. However, they will not be able to access information regarding Your bank/brokerage/crypto account credentials unless You provide them such assess, or they access it through other means.  'White Label Customers' may also be able to suspend or terminate Your account access.

4. Children's Privacy

Our Service does not address anyone under the age of 18. We do not knowingly collect personally identifiable information from anyone under the age of 18. If You are a parent or guardian and You are aware that Your child has provided Us with Personal Data, please contact Us. If We become aware that We have collected Personal Data from anyone under the age of 18 without verification of parental consent, We take steps to remove that information from Our servers.

5. Links to Other Websites

Our Service may contain links to other websites that are not operated by Us. If You click on a third-party link, You will be directed to that third party's site. We strongly advise You to review the Privacy Policy of every site You visit. We have no control over and assume no responsibility for the content, privacy policies or practices of any third-party sites or services.

6. California Resident Rights

If You are a California resident, You have the rights set forth in this section. Please see the "Exercising Your Rights under the CCPA" section below for instructions regarding how to exercise these rights. Please note that we may process Personal Data of our customers' end users or employees in connection with our provision of certain services to our customers. If we are processing Your Personal Data as a service provider, You should contact the entity that collected Your Personal Data in the first instance to address Your rights with respect to such data. Additionally, please note that these rights are subject to certain conditions and exceptions under applicable law, which may permit or require us to deny Your request.

If there are any conflicts between this section and any other provision of this Privacy Policy and You are a California resident, the portion that is more protective of Personal Data shall control to the extent of such conflict. If You have any questions about this section or whether any of the following rights apply to You, please contact us at privacy@twocents.ai.

6.1. Access

You have the right to request certain information about our collection and use of Your Personal Data over the past 12 months. In response, we will provide You with the following information:

  • The categories of Personal Data that we have collected about You.

  • The categories of sources from which that Personal Data was collected.

  • The business or commercial purpose for collecting or selling Your Personal Data.

  • The categories of third parties with whom we have shared Your Personal Data.

  • The specific pieces of Personal Data that we have collected about You.

If we have disclosed Your Personal Data to any third parties for a business purpose over the past 12 months, we will identify the categories of Personal Data shared with each category of third-party recipient. If we have sold Your Personal Data over the past 12 months, we will identify the categories of Personal Data sold to each category of third-party recipient. You may request the above information beyond the 12-month period, but no earlier than Aug 28, 2025. If You do make such a request, we are required to provide that information unless doing so proves impossible or would involve disproportionate effort.

6.2. Deletion

You have the right to request that we delete the Personal Data that we have collected about You. Under the CCPA, this right is subject to certain exceptions: for example, we may need to retain Your Personal Data to provide You with the Services or complete a transaction or other action You have requested. If Your deletion request is subject to one of these exceptions, we may deny Your deletion request.

6.3. Correction

You have the right to request that we correct any inaccurate Personal Data we have collected about You. Under the CCPA, this right is subject to certain exceptions: for example, if we decide, based on the totality of circumstances related to Your Personal Data, that such data is correct. If Your correction request is subject to one of these exceptions, we may deny Your request.

6.4. Personal Data Sales and Sharing Opt-Out

In this section, we use the term "sell" and "share" as it is defined in the CCPA, which can include certain use of Your Personal Data for online advertising. For clarity, we will only 'sell' or 'share' Your Personal Data by way of Cookies, and not for monetary consideration. We do not sell Your financial information.

As described in the "Tracking Tools and Cookies" section above, we have incorporated Cookies from certain third parties into our Services. These Cookies allow those third parties to receive information about Your activity on our Services that is associated with Your browser or device. Those third parties may use that data to serve You relevant ads on our Services or on other websites You visit. Under the CCPA, disclosing Your data through third party Cookies for online advertising may be considered "selling" or "sharing" of information. You can opt out by following the instructions in this section.

We sell or share Your Personal Data to the following categories of third parties:

  • Advertising Partners

We may have sold or shared the following categories of Your Personal Data to categories of third parties listed above:

  • Device/IP Data

  • Web Analytics

We may have sold or shared the foregoing categories of Personal Data for the following business or commercial purposes:

  • Marketing the Services.

  • Showing You advertisements, including interest-based or online behavioral advertising.

You have the right to opt-out of the sale or share of Your Personal Data by following the instructions in the "Exercising Your Rights under the CCPA" section. Once You have submitted an opt-out request, we will not ask You to reauthorize the sale of Your Personal Data for at least 12 months. To our knowledge, we do not sell or share the Personal Data of minors under 18 years of age.

6.5. Limit the Use of Sensitive Personal Information

Consumers have the right to request that we limit the use or sharing disclosure of their Sensitive Personal Information ("Right to Limit"). However, since our use and disclosure of Sensitive Information are limited to the purposes set forth in section 7027(m) of the CCPA regulations, including: 1) performing the services or providing the goods reasonably expected, 2) preventing, detecting, and investigating security incidents, 3) resisting malicious, deceptive, fraudulent, or illegal actions, 4) performing services on behalf of the business, 5) verifying or maintaining quality or safety of a product or service, and 6) collecting or processing Sensitive Personal Information but not for the purpose of inferring characteristics, we do not offer a way for You to submit such a request.

6.6. We Will Not Discriminate Against You for Exercising Your Rights Under the CCPA

We will not discriminate against You for exercising Your rights under the CCPA. We will not deny You our goods or services, charge You different prices or rates, or provide You a lower quality of goods and services if You exercise Your rights under the CCPA. However, we may offer different tiers of our Services as allowed by applicable data privacy laws (including the CCPA) with varying prices, rates or levels of quality of the goods or services You receive related to the value of Personal Data that we receive from You.

6.7. Our Financial Incentive Program

We offer our customers a referral program (which You can find more information on here: https://www.twocents.ai) (the "Referral Program") that provides certain rewards or incentives. From time to time, we may also provide other programs such as contests or other similar promotional campaigns (collectively, the Programs"). When You sign up for one of these Programs, You may be asked to provide certain Personal Data such as Your name and email address, and for our Referral Program, also the name contact information of Your Referee. Because our Programs involve the collection of Personal Data and offering of certain benefits, they may be interpreted as a "financial incentive" program under the CCPA. Under the California law, the value of Your Personal Data to us is related to the value of the rewards, incentives, or other benefits that You obtain or that are provided as part of the applicable Program, less the expense related to offering those products, services, and benefits to Program participants.
You can withdraw from participating in a Program at any time by contacting us at support@twocents.ai.

6.8. Exercising Your Rights under the CCPA

To exercise the rights described above, You or Your designated authorized agent must send us a request that (1) provides sufficient information to allow us to verify that You are the person about whom we have collected Personal Data, and (2) describes Your request in sufficient detail to allow us to understand, evaluate and respond to it. Each request that meets both of these criteria will be considered a "Valid Request." We may not respond to requests that do not meet these criteria.

You may opt-out from any "sales," or "shares," by using the following methods:

  • By accessing Your cookie consent mechanism by accessing Your "Cookie Preferences" at the bottom of our website.

  • By implementing the Global Privacy Control or similar universal privacy control that is legally recognized by a government agency or industry standard and that complies with the CCPA. The signal issued by the control must be initiated by Your browser and applies to the specific device and browser You use at the time You cast the signal. Please note this does not include Do Not Track signals.

7. Other State Law Privacy Rights

7.1. California Resident Rights

Under California Civil Code Sections 1798.83-1798.84, California residents are entitled to contact us to prevent disclosure of Personal Data to third parties for such third parties' direct marketing purposes; in order to submit such a request, please contact us at privacy@twocents.ai

7.2. Nevada Resident Rights

If You are a resident of Nevada, You have the right to opt-out of the sale of certain Personal Data to third parties who intend to license or sell that Personal Data. You can exercise this right by contacting us at privacy@twocents.ai with the subject line "Nevada Do Not Sell Request" and providing us with Your name and the email address associated with Your account.

8. Changes to this Privacy Policy
